Tipsy ("Tipsy," "we," "us," or "our") is a software-as-a-service platform for food and beverage operators, operated by Callidus Food & Beverage Holdings and related entities ("Callidus") and accessible at tipsyapp.io and related domains, including the Tipsy Supplier Portal and the Tipsy Accounting Portal.
By creating an account, accepting an invitation, or accessing or using any Tipsy service, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are accepting on behalf of a company — a venue, a supplier, or an accounting or bookkeeping firm (each a "Firm") — you represent that you have authority to bind that company, and "you" includes it and its personnel.
You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your credentials, and for all activity under your account. Access to venue data through the Accounting Portal is invitation-based and permission-scoped: a Firm sees only the clients a venue has connected to it, and Firm administrators control which of their members may access which clients and functions. You must not share credentials, circumvent permissions, or access data you have not been granted.
Through Tipsy — and in particular through the Accounting Portal — you may access non-public business, financial, and operational information belonging to venues and their businesses, including sales figures, invoices, bank and ledger transactions, payroll-related data, supplier terms, reports, and documents (collectively, "Client Data"). Client Data is confidential, and as between you and the venue, Client Data belongs to the venue.
Permitted use. You may access and use Client Data solely to provide the accounting, bookkeeping, advisory, or other services the venue engaged you to provide (the "Permitted Purpose"), and only through the access you have been granted.
No unauthorized capture or distribution. Except as reasonably necessary for the Permitted Purpose (for example, entering figures into the venue's accounting system) or with the venue's prior written consent, you agree not to copy, download, export, photograph, screenshot, record, transmit, publish, or otherwise reproduce or distribute Client Data outside the platform. You will not disclose Client Data to any third party, use it for your own or any other party's benefit, or use it to compete with, solicit from, or disadvantage the venue.
Your team. A Firm is responsible for its members' compliance with this Section and must limit each member's access to what their work requires. Obligations under this Section survive termination of your account, your engagement with the venue, and these Terms.
Remedies. You acknowledge that unauthorized use or disclosure of Client Data may cause irreparable harm for which money damages are inadequate, and that Tipsy and/or the affected venue are entitled to seek injunctive relief in addition to any other remedy. Tipsy may suspend or terminate access immediately upon actual or suspected breach of this Section.
Exceptions. These restrictions do not apply to information that is or becomes public through no fault of yours, that you lawfully possessed before access through Tipsy, or that you are required to disclose by law — provided, where lawful, you give prompt notice so the venue may seek protection.
You agree not to: (a) use the platform for any unlawful purpose; (b) probe, scan, or test the vulnerability of the platform or circumvent any access control; (c) scrape, harvest, or bulk-extract data outside the export features provided; (d) introduce malicious code; (e) misrepresent your identity or affiliation; or (f) resell, sublicense, or provide access to the platform to any third party except your own authorized personnel.
Data handling, roles (controller/processor), retention, and security practices are described in the Privacy Policy, which is incorporated into these Terms. Venues retain ownership of their data; Firms retain ownership of their own account information; Tipsy retains ownership of the platform, including all software, designs, and aggregated or de-identified usage data.
Venue subscriptions are billed per the plan selected at signup. Accounting Portal access for invited Firms is currently provided at no charge to the Firm; Tipsy may introduce or change Firm-facing pricing with reasonable prior notice.
Tipsy is provided "as is" and "as available." We work to keep the platform accurate and online but do not warrant uninterrupted availability or error-free operation. Tipsy is a software tool: it is not an accounting, tax, payroll, or legal advisor, and outputs (including AI-assisted reads of invoices or statements) must be reviewed by a qualified professional before being relied upon. You are responsible for verifying figures entered into any accounting or payroll system.
To the maximum extent permitted by law, Tipsy and Callidus will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from or related to the platform. Our total aggregate liability for any claim will not exceed the amounts paid to Tipsy by the applicable customer in the twelve (12) months preceding the claim, or one hundred dollars ($100) if no amounts were paid.
You may stop using the platform at any time. We may suspend or terminate access for breach of these Terms (immediately, in the case of Section 3), for non-payment, or where required to protect the platform or its users. Sections 3, 5, 7, 8, and 10 survive termination.
These Terms are governed by the laws of the State of Missouri, without regard to conflicts of law, and disputes will be resolved in the state or federal courts located in Kansas City, Missouri. We may update these Terms; material changes will be versioned, dated, and re-presented for acceptance in the product. Continued use after acceptance of an updated version constitutes agreement. If any provision is unenforceable, the remainder stays in effect. These Terms, with the Privacy Policy and any signed agreement between you and Callidus, are the entire agreement; if a signed agreement conflicts with these Terms, the signed agreement controls.
